Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Rentalot platform, including our website at rentalot.ai, AI-powered rental agent, APIs, and all related services (collectively, the "Service") provided by Rentalot, Inc. ("Rentalot," "we," "us," or "our").

BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

These Terms contain important provisions including an arbitration agreement, limitation of liability, warranty disclaimers, and indemnification obligations. Please read them carefully.

If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity.

2. Definitions

  • "Customer" — The individual or entity that subscribes to Rentalot.
  • "End User" — Any tenant, prospective renter, or other individual who communicates with a Customer through the Service.
  • "AI Agent" — Our automated system that uses large language models to generate responses on behalf of Customers.
  • "Customer Data" — All data, content, and information that a Customer uploads, inputs, or transmits through the Service.
  • "Subscription" — A Customer's paid or trial access to the Service under a specific plan tier.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into a binding agreement
  • Provide accurate and complete registration information
  • Not be prohibited from using the Service under applicable law

If you are a property manager or real estate agent, you represent that you hold any licenses required by your jurisdiction to engage in property management or real estate brokerage activities.

4. Account Registration and Security

You must create an account to use the Service. You agree to provide truthful, accurate, and current registration information, maintain and promptly update your information, keep your login credentials confidential, and notify us immediately of any unauthorized access.

You are responsible for all activity that occurs under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized use of your account.

5. Service Description

5.1 What Rentalot Does

  • Responds to tenant and prospect inquiries via WhatsApp, Telegram, email (Gmail), and web chat
  • Schedules property showings using calendar integration
  • Manages and categorizes incoming communications
  • Sends follow-up messages and reminders
  • Maintains conversation context across channels and interactions

5.2 What Rentalot Does NOT Do

The Service does not:

  • Provide legal, financial, or tax advice
  • Make binding commitments on your behalf (lease agreements, rental offers, price negotiations)
  • Approve or deny rental applications
  • Conduct background checks or tenant screening
  • Guarantee compliance with any law, regulation, or industry standard
  • Replace human judgment for consequential decisions

5.3 AI Limitations — IMPORTANT

You acknowledge and agree that:

  • AI-generated responses may contain inaccuracies, errors, or misleading information ("hallucinations"). The AI system generates responses based on patterns and context, not verified factual databases.
  • You are solely responsible for reviewing, verifying, and approving AI-generated communications before they are sent to End Users, or for accepting the consequences of automated sending.
  • The AI Agent does not understand legal implications, fair housing nuances, or jurisdiction-specific regulations. You must independently verify compliance.
  • AI performance may vary based on the quality and completeness of the data you provide (property details, preferences, etc.).
  • Response quality depends on third-party LLM services (currently Google Gemini) which may experience outages, degradation, or changes outside our control.

6. Subscription Plans and Billing

6.1 Plan Tiers

We offer multiple subscription tiers (Free Trial, Starter, Pro, Scale) with varying message limits, property limits, and features. Current pricing and plan details are available at rentalot.ai/pricing.

6.2 Free Trial

  • 14-day trial with limited functionality (50 messages, 3 properties)
  • No payment information required to start
  • Trial accounts are automatically deactivated after 14 days unless upgraded

6.3 Billing and Payment

  • Subscriptions are billed monthly or annually in advance
  • All fees are quoted in US dollars and are non-refundable except as stated in Section 6.6
  • Annual subscriptions receive a 20% discount
  • We may change pricing with 30 days' advance notice; price changes apply to the next billing cycle

6.4 Overage Charges

If you exceed your plan's monthly message limit, additional messages are billed at the overage rate for your plan tier. Overage is capped at 20% above your plan limit; usage beyond that is blocked until the next billing cycle.

6.5 Failed Payments

If a payment fails, we will attempt to process payment again within 3 business days and send an email notification. If payment is not resolved within 7 days, your Service may be suspended. If not resolved within 30 days, your account may be terminated.

6.6 Cancellation and Refunds

  • You may cancel your Subscription at any time via your account settings or by emailing support@rentalot.ai
  • Cancellation is effective at the end of the current billing period
  • No partial refunds are provided for unused portions of a billing period
  • Annual subscriptions: If you cancel within the first 30 days, you may request a prorated refund for unused months
  • Upon cancellation, you may request a data export within 30 days. After 30 days, data is permanently deleted per our Privacy Policy.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Service only for legitimate property management and real estate communication purposes, including responding to rental inquiries, scheduling showings, communicating with tenants, and managing rental business communications.

7.2 Prohibited Uses

Fair Housing Violations:

  • Discriminate against any person based on race, color, national origin, religion, sex (including gender identity and sexual orientation), familial status, disability, or any other protected characteristic under federal, state, or local law
  • Configure the AI Agent to filter, screen, or respond differently based on any protected characteristic
  • Use the Service in any manner that violates the Fair Housing Act, state fair housing laws, or local anti-discrimination ordinances

Illegal and Harmful Activities:

  • Engage in or facilitate any illegal activity
  • Send unsolicited bulk messages (spam)
  • Harass, threaten, or intimidate any person
  • Impersonate any person or entity
  • Misrepresent AI-generated responses as human-written when End Users are entitled to know the communication is automated (where required by law)

Technical Abuse:

  • Attempt to circumvent rate limits, usage caps, or security measures
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to develop competing products
  • Inject adversarial prompts to manipulate AI behavior
  • Access accounts or data belonging to other Customers

Data Misuse:

  • Use End User data for any purpose not directly related to the property management relationship
  • Sell, rent, or transfer End User contact information to third parties
  • Use the Service to collect sensitive personal information (Social Security numbers, financial account numbers, health information) beyond what is necessary for the rental transaction

7.3 Enforcement

We may suspend or terminate your account for violations. For non-egregious violations, we will provide 15 days' notice and an opportunity to cure. For violations involving discrimination, illegal activity, or imminent harm, we may suspend access immediately.

8. Third-Party Platform Terms

8.1 Compliance Required

Your use of the Service involves third-party platforms. You agree to comply with the terms of service of WhatsApp Business, Telegram, and Google API Services.

8.2 Platform Suspensions

If a third-party platform suspends or terminates your access (e.g., WhatsApp bans your number, Google revokes API access), that specific channel will be unavailable through the Service. This is not a breach of our obligations.

8.3 WhatsApp-Specific Requirements

If you use WhatsApp through our Service, you must:

  • Obtain proper opt-in consent from End Users before initiating WhatsApp communications
  • Use only approved message templates for business-initiated messages
  • Comply with WhatsApp's 24-hour customer service window rules
  • Not send promotional messages outside of permitted categories

8.4 Google API Scopes

By connecting your Google account, you authorize us to access:

  • Gmail API: Read, compose, and send emails; manage labels; watch for new messages
  • Google Calendar API: Read and create calendar events for showing scheduling

You can revoke Google access at any time through your Google Account settings. Revocation will disable email and calendar features.

9. Intellectual Property

9.1 Our Intellectual Property

Rentalot retains all rights, title, and interest in the Service, including the platform software, algorithms, architecture, AI Agent system prompts, branding, and documentation.

9.2 Customer Data Ownership

You retain all ownership rights in your Customer Data. By using the Service, you grant us a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service.

9.3 AI-Generated Content

AI-generated responses composed by the AI Agent on your behalf are considered your content. You are responsible for their accuracy and legal compliance. We claim no ownership of AI-generated responses delivered through your account.

9.4 Aggregated Data

We may create aggregated, de-identified, statistical data derived from Service usage ("Aggregated Data"). Aggregated Data does not identify any individual or Customer. We own Aggregated Data and may use it for any lawful purpose.

10. Confidentiality

Each party agrees to treat the other party's confidential business information with reasonable care. Confidentiality obligations do not apply to information that: (a) is publicly available through no fault of the receiving party, (b) was known before disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

11. Warranty Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY or fitness for a particular purpose
  • WARRANTIES OF ACCURACY — We do not warrant that AI-generated responses will be accurate, complete, appropriate, or error-free
  • WARRANTIES OF COMPLIANCE — We do not warrant that the Service will ensure compliance with fair housing laws, landlord-tenant laws, or any other regulation
  • WARRANTIES OF AVAILABILITY — We do not warrant uninterrupted, timely, or error-free operation of the Service
  • WARRANTIES REGARDING THIRD PARTIES — We do not warrant the availability, performance, or policies of third-party platforms (WhatsApp, Telegram, Google)

YOU EXPRESSLY ACKNOWLEDGE THAT AI SYSTEMS CAN AND DO GENERATE FALSE, MISLEADING, OR INAPPROPRIATE CONTENT. YOU ACCEPT ALL RISK ASSOCIATED WITH RELIANCE ON AI-GENERATED COMMUNICATIONS.

12. Limitation of Liability

12.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTALOT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.2 Exclusion of Consequential Damages

IN NO EVENT SHALL RENTALOT BE LIABLE FOR ANY:

  • Lost profits, revenue, or business opportunities
  • Lost or damaged data
  • Cost of procurement of substitute services
  • Fair housing fines, penalties, or regulatory actions
  • Damages arising from AI-generated content that you sent without adequate review
  • Tenant disputes, lease violations, or property damage
  • Reputational harm
  • Any indirect, incidental, special, consequential, or punitive damages

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF RENTALOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Rentalot and its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or violation of these Terms
  • Your violation of any law or regulation, including fair housing laws
  • Your use of AI-generated responses without adequate human review
  • Your violation of third-party platform terms (WhatsApp, Telegram, Google)
  • Your infringement of any third party's rights
  • Any disputes between you and your End Users

13.2 Our Indemnification Obligations

We will indemnify you against third-party claims alleging that the Service itself (excluding Customer Data and AI-generated content) infringes a third party's intellectual property rights, provided that you: (a) promptly notify us, (b) grant us sole control of the defense, and (c) provide reasonable cooperation. We may modify the Service to avoid infringement or terminate your Subscription with a prorated refund.

14. Service Level

14.1 Uptime Target

We target 99.9% monthly uptime for the Service. Uptime excludes scheduled maintenance (communicated at least 48 hours in advance), force majeure events, third-party platform outages, and issues caused by your equipment, network, or actions.

14.2 Service Credits

Service credits must be requested within 30 days and are applied to future billing. Credits do not exceed 25% of the monthly fee and are your sole remedy for downtime.

15. Term and Termination

15.1 Termination by You

You may terminate your account at any time by canceling your Subscription per Section 6.6.

15.2 Termination by Us

  • With notice: 30 days' written notice for any reason
  • Immediately: For material breach, including Acceptable Use Policy violations involving discrimination, illegal activity, fraud, or security threats
  • Immediately: For non-payment exceeding 30 days past due

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately (or at end of billing period for Customer-initiated cancellation)
  • You may request a data export within 30 days
  • We will delete your Customer Data within 30 days after the export period, except as required by law
  • Sections 9–13 (IP, Confidentiality, Disclaimers, Liability, Indemnification) survive termination
  • Outstanding fees remain due and payable

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@rentalot.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

16.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures.

  • Arbitration will take place in the State of Delaware or remotely at the election of the party initiating the claim
  • The arbitrator's decision is final and binding
  • Each party bears its own costs; the arbitrator may award costs to the prevailing party

16.3 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

The following are excluded from arbitration:

  • Claims for injunctive or equitable relief for intellectual property infringement
  • Claims that may be brought in small claims court
  • Claims related to data breaches where immediate injunctive relief is necessary

16.5 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.

17. Fair Housing Compliance

17.1 Your Obligation

You are solely responsible for complying with the Fair Housing Act (42 U.S.C. 3601 et seq.), state fair housing laws, and local anti-discrimination ordinances in your use of the Service.

17.2 Our Safeguards

We include the following safeguards in our AI system:

  • System prompts that instruct the AI Agent to avoid discriminatory language
  • Monitoring for patterns that may indicate discriminatory use
  • Audit logs of AI-generated communications retained for compliance review

17.3 No Guarantee

These safeguards do not guarantee fair housing compliance. AI systems can generate biased or discriminatory content despite safeguards. You must independently review AI-generated communications for compliance.

17.4 Cooperation

If we receive a fair housing complaint or investigation involving your account, we will cooperate with you and relevant authorities to the extent required by law. You agree to cooperate with us in any such investigation.

18. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by email notification, prominent notice within the Service, and posting updated Terms with a revised "Last Updated" date. Material changes take effect 30 days after notification. Your continued use constitutes acceptance.

19. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable DPA, constitute the entire agreement.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights without our consent. We may assign in connection with a merger, acquisition, or asset sale.
  • Force Majeure: We are not liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, pandemics, government actions, internet failures, and third-party platform outages.
